1. Scope These terms apply to all services by Quarks Studio (B2B & B2C).
2. Services – Web design & development – Branding – SEO – Maintenance & Support – Post-Launch Training & Support
3. Proposal & Contract Contracts become effective upon written acceptance of our proposal. Details (scope, timeline, fees) are defined per project.
4. Payment Terms Unless otherwise agreed: 50% upfront upon contract signing 50% final upon delivery (due within 14 days of invoice) Specific schedules may vary per project.
6. Ownership & IP Client acquires full usage rights after final payment.Source files, raw assets, and code remain Quarks Studio IP unless explicitly transferred.
7. Post-Launch Support Includes 2 free hours of support within 7 days of delivery. Further assistance requires a separate maintenance agreement.
8. Cancellation & Refunds Cancel within 7 days (before design starts) → full refund. Cancel after design begins → 50% refund of remaining balance. Cancel after development begins → no refund. If a project must be cancelled from our side due to unforeseen or exceptional circumstances, any payments for unfinished work will be fully refunded.
9. Dispute Resolution For consumer disputes, the EU’s ODR platform is available: https://ec.europa.eu/consumers/odr We do not participate in consumer arbitration boards.
10. Liability Liability is limited to intent and gross negligence. Third-party failures (e.g., hosting, plugins) are excluded.
11. Governing Law & Jurisdiction German law applies. Place of jurisdiction: Berlin, Germany.
